1. About These Terms
Welcome to The Light Studio Australia.
These Terms of Service govern your access to and use of our website, online store, products, content and related services.
Throughout these Terms, “The Light Studio”, “we”, “us” and “our” refer to The Light Studio Australia.
Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer our products and services.
By accessing our website, creating an account or placing an order, you agree to these Terms of Service together with our:
- Privacy Policy;
- Return, Refund and Warranty Policy;
- Shipping Policy; and
- any other policies or terms displayed in connection with a product, promotion or service.
Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.
2. Eligibility and Account Information
You must be legally capable of entering into a binding agreement to place an order through our website.
When creating an account or placing an order, you agree to provide accurate, complete and current information.
You are responsible for:
- keeping your account and password secure;
- restricting access to your account;
- checking that your billing, delivery and contact information is correct; and
- notifying us promptly if you believe your account has been accessed without authorisation.
You must not transfer, sell or assign your customer account to another person.
3. Product Information
We take reasonable care to provide accurate product information, including descriptions, specifications, images, dimensions, finishes and pricing.
However:
- colours may appear differently depending on screen settings, lighting and photography;
- natural materials, fabrics, timber, metal finishes and handmade components may show reasonable variations in colour, grain, texture or appearance;
- dimensions may be subject to reasonable manufacturing tolerances;
- photographs and room renders may not show products precisely to scale;
- product details may be updated as designs, materials or components change; and
- accessories, lamps, furniture or other objects shown in images are not included unless expressly stated.
These reasonable variations are not necessarily product faults.
You should carefully review all product information before ordering and contact us before purchase if a particular dimension, finish, installation method or technical characteristic is essential.
Nothing in this section limits your rights where a product is materially different from its description, sample or representation.
4. Custom-Made and Made-to-Order Products
Many of our products are custom-made, made to order or prepared according to customer-selected specifications.
This may include selections relating to:
- size or dimensions;
- finish or colour;
- fabric;
- mounting method;
- suspension length;
- electrical configuration;
- dimming;
- canopy type; or
- other product options.
You are responsible for checking that all selections and measurements are correct before submitting the order.
Where we provide an order confirmation, drawing, specification or other approval document, you must review it carefully and notify us promptly of any error.
Once production, purchasing, cutting, finishing, assembly or other preparation has commenced, a custom-made or made-to-order product generally cannot be cancelled, amended, returned or exchanged for change of mind.
This does not affect your rights where the product is faulty, incorrectly supplied or does not meet an applicable consumer guarantee.
5. Orders and Acceptance
Placing an order through our website is an offer to purchase the selected products.
An automated order acknowledgement confirms that we have received your order. It does not necessarily mean that we have accepted it.
We may review the order before acceptance, including to confirm:
- product availability;
- pricing;
- payment;
- delivery details;
- product selections;
- technical suitability; and
- whether any obvious error has occurred.
An order is accepted when we confirm acceptance, commence production or preparation, or dispatch the goods, whichever occurs first.
We may decline or cancel an order where reasonably necessary, including where:
- a product is unavailable;
- incorrect pricing or product information has been displayed;
- payment is not authorised;
- the order appears fraudulent;
- delivery is not reasonably available to the stated address;
- required product information has not been provided; or
- fulfilling the order would breach a law or supplier restriction.
If we cancel an order after payment has been received, we will refund the amount paid for the cancelled product, subject to any lawful deduction for work already authorised and completed on a customer-requested order.
6. Order Changes and Cancellations
Please contact us promptly if you need to change or cancel an order.
Off-the-shelf orders may be changed or cancelled before processing or dispatch, where reasonably possible.
Custom-made and made-to-order products cannot generally be changed or cancelled after production or preparation has commenced.
Where we agree to a change after work has commenced, additional charges and revised lead times may apply.
Our Return, Refund and Warranty Policy contains further information about cancellations and change-of-mind returns.
7. Prices, GST and Payment
Unless clearly stated otherwise, prices displayed on The Light Studio website are in Australian dollars and include GST.
Delivery charges and any other applicable fees will be displayed at checkout or otherwise advised before the order is completed.
Prices may change without notice, but a price change will not affect an order that has already been accepted, except where there has been an obvious pricing error.
You agree to provide accurate and authorised payment information.
Payment must be received in full unless we have agreed otherwise in writing.
We may use third-party payment providers to process payments. Those providers may apply their own terms and privacy practices.
8. Pricing and Website Errors
Occasionally, our website may contain an error relating to:
- price;
- product description;
- dimensions;
- availability;
- delivery charges;
- lead times;
- promotion details; or
- another product or order detail.
We may correct an error when identified.
Where an obvious error affects an order, we will contact you and give you the option, where appropriate, to proceed on the corrected basis or cancel the affected item for a refund.
We will not knowingly rely on an error to deprive you of rights under the Australian Consumer Law.
9. Production and Lead Times
Production and dispatch timeframes shown on our website or provided to you are estimates unless expressly agreed in writing as a guaranteed date.
Lead times may begin only after:
- payment has cleared;
- all product selections have been confirmed;
- required information has been provided; and
- any drawings or specifications requiring approval have been approved.
Lead times may be affected by:
- material or component availability;
- supplier delays;
- production capacity;
- custom finishing;
- public holidays;
- transport disruptions;
- severe weather; or
- events outside our reasonable control.
We will take reasonable steps to notify you of a significant delay once we become aware of it.
Nothing in this section removes any rights you may have where goods are not supplied within a reasonable time or an agreed essential timeframe.
10. Shipping and Delivery
Delivery timeframes are estimates and may vary according to destination, product type, carrier and circumstances outside our reasonable control.
You must provide a complete and accurate delivery address and contact details.
You are responsible for ensuring that:
- the delivery location is accessible;
- the address is suitable for delivery;
- there is a reasonably safe and sheltered place where the parcel may be left;
- any access restrictions are disclosed before dispatch; and
- the product can be safely received, moved and stored.
Authority to Leave
Unless otherwise agreed with us before dispatch, orders are generally sent with authority to leave.
This means the carrier may leave the goods at the delivery address without obtaining a signature, contacting the recipient at the time of delivery or obtaining further permission.
Authority to leave is used to reduce failed delivery attempts and additional redelivery charges.
The carrier will determine whether there is a reasonably suitable place at the delivery address to leave the parcel. We cannot guarantee the precise location chosen by the driver.
Where the carrier considers that the parcel cannot be safely left, the carrier may:
- attempt redelivery;
- take the parcel to a collection location;
- return the parcel to a depot; or
- return the parcel to us.
Additional charges may apply where delivery cannot be completed because there is no suitable place to leave the parcel or because of circumstances relating to the delivery address.
If you do not want authority to leave applied, you must contact us before the order is dispatched. A signature-required service or alternative delivery arrangement may incur an additional charge.
Delivery and Risk
Delivery occurs when the goods are delivered to:
- the delivery address supplied with the order;
- a person at that address;
- a location nominated or authorised by the customer; or
- a location at the delivery address selected by the carrier under authority to leave.
Risk in the goods passes to you once delivery has occurred.
Where goods have been left under authority to leave, you are responsible for collecting and securing them promptly.
To the extent permitted by law, we are not responsible for theft, loss, weather exposure or damage occurring after the goods have been delivered and left at the address.
Nothing in this section excludes liability where the goods were damaged before delivery, incorrectly delivered, faulty, or where responsibility cannot lawfully be excluded.
Additional Delivery Charges
Additional delivery charges may apply for:
- an incorrect or incomplete address;
- redelivery;
- redirection after dispatch;
- difficult, unsafe or restricted access;
- remote locations;
- waiting time;
- special handling;
- failure to collect a parcel;
- return-to-sender charges; or
- unsuccessful delivery caused by circumstances outside our reasonable control.
Please inspect the goods as soon as reasonably possible after delivery and report visible damage, missing items or incorrect goods in accordance with our Return, Refund and Warranty Policy.
11. Installation and Electrical Work
Lighting products must be installed by a suitably qualified and licensed electrician where required by law.
Before installation, the electrician should inspect the product and confirm that it is suitable for:
- the intended location;
- the electrical supply;
- the mounting surface;
- the chosen dimmer or control system;
- the environmental conditions; and
- the proposed installation method.
Do not install a product that appears damaged, incomplete, faulty or incorrect.
Installation, removal, modification or repair by an unqualified person may be unsafe and may affect rights under our voluntary warranty where the installation or modification caused the problem.
This does not limit rights under the Australian Consumer Law where the product itself is faulty.
12. Measurements and Site Suitability
You are responsible for checking that the selected product is suitable for your space and intended application.
Unless expressly agreed in writing, we are not responsible for:
- site measurements;
- ceiling structure or fixing points;
- electrical compatibility;
- building access;
- clearance requirements;
- placement decisions;
- coordination with other trades; or
- the suitability of a customer-selected product for a particular project.
Any general information we provide should not replace advice from an appropriately qualified electrician, builder, designer, engineer or other professional where required.
Where you tell us about a particular purpose and rely on our advice, your rights under the Australian Consumer Law remain unaffected.
13. Returns, Refunds and Warranty
Returns, refunds, exchanges, cancellations and warranty claims are governed by our Return, Refund and Warranty Policy.
Custom-made and made-to-order products cannot be returned for change of mind.
Our goods come with consumer guarantees that cannot be excluded under the Australian Consumer Law. Depending on the circumstances, a customer may be entitled to a repair, replacement, refund or compensation where goods fail to meet those guarantees.
14. Promotions and Discount Codes
Promotions and discount codes may be subject to separate conditions, including:
- validity dates;
- qualifying products;
- minimum purchase requirements;
- customer eligibility;
- usage limits; and
- exclusions.
Unless stated otherwise:
- only one discount may be used per order;
- discounts cannot be applied retrospectively;
- discounts cannot be exchanged for cash; and
- a promotion may be withdrawn or corrected where there is an error or misuse.
Nothing in a promotion limits rights under the Australian Consumer Law.
15. Website Use
You may use our website only for lawful personal or business purchasing purposes.
You must not:
- misuse or interfere with the website;
- introduce malicious code;
- attempt to gain unauthorised access;
- scrape or systematically extract content or data;
- impersonate another person;
- submit false or misleading information;
- use the website for fraudulent activity;
- infringe intellectual-property rights; or
- use our content for unauthorised commercial purposes.
We may suspend or restrict access where reasonably necessary to protect the website, our business, customers or other users.
16. Intellectual Property
Unless otherwise stated, the content of our website is owned by or licensed to The Light Studio Australia.
This includes:
- product names;
- logos;
- text;
- product descriptions;
- photographs;
- illustrations;
- drawings;
- videos;
- graphics;
- page layouts; and
- website design.
You may view and use the website for personal shopping and legitimate product-selection purposes.
You must not reproduce, modify, publish, distribute, sell or commercially exploit our content without prior written permission, except where permitted by law.
Third-party trademarks and content remain the property of their respective owners.
17. Reviews and User Content
Where you submit a review, photograph, comment, suggestion or other content, you confirm that:
- you have the right to submit it;
- it is accurate to the best of your knowledge;
- it does not infringe another person’s rights;
- it is not unlawful, defamatory, misleading or offensive; and
- it does not contain malicious code.
You grant us a non-exclusive, worldwide, royalty-free licence to reproduce, publish and display that content for purposes connected with operating and promoting our business.
We may moderate or remove content where reasonably necessary, but we are not required to publish or retain every submission.
We will not knowingly publish a review in a misleading manner or fail to disclose an incentive where disclosure is required.
18. Third-Party Services and Links
Our website may use or link to services provided by third parties, including Shopify, payment providers, social media platforms and other technology providers.
Third-party services are governed by their own terms and privacy policies.
We are not responsible for the content or operation of an independent third-party website, except to the extent responsibility cannot lawfully be excluded.
A link does not necessarily indicate endorsement or affiliation.
19. Shopify
Our store is hosted by Shopify.
Products purchased through our store are sold by The Light Studio Australia, not Shopify.
Shopify provides the ecommerce platform and may process information as described in our Privacy Policy and Shopify’s own privacy terms.
Nothing in this section excludes any responsibility that cannot lawfully be excluded.
20. Privacy
We collect, use and disclose personal information in accordance with our Privacy Policy.
By using our website, you acknowledge that personal information may be processed by Shopify and other service providers involved in operating the store, processing payment, delivering orders, providing analytics and conducting advertising.
21. Consumer Guarantees
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.
Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded, restricted or modified.
Consumer guarantees apply automatically regardless of any voluntary warranty, and businesses must not mislead customers about those rights.
22. Website Availability
We aim to keep the website available and accurate, but we do not guarantee that it will always be uninterrupted, secure or free from technical errors.
We may temporarily suspend access for maintenance, security or system updates.
To the extent permitted by law, we are not responsible for temporary website unavailability that is outside our reasonable control.
23. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
To the extent permitted by law, we are not liable for loss caused by:
- misuse of a product;
- incorrect installation;
- unauthorised modification;
- failure to follow instructions;
- inaccurate information supplied by the customer;
- use outside the product’s stated purpose or rating; or
- events outside our reasonable control.
We are not responsible for indirect or consequential loss that was not reasonably foreseeable, except where liability cannot lawfully be excluded.
Any limitation in these Terms is subject to the Australian Consumer Law and other applicable laws.
24. Events Outside Our Reasonable Control
We are not responsible for a delay or failure caused by events outside our reasonable control, including:
- natural disasters;
- severe weather;
- fire or flood;
- transport disruption;
- industrial action;
- supplier interruption;
- shortages of materials or components;
- government action;
- utility failure;
- cyber incidents; or
- public-health emergencies.
Where such an event affects an order, we will take reasonable steps to reduce the impact and communicate with you.
This section does not remove any right to a refund or other remedy where one is required by law.
25. Suspension and Termination
You may stop using the website at any time.
We may suspend or terminate an account or restrict access where reasonably necessary because of:
- fraud or suspected fraud;
- unlawful conduct;
- misuse of the website;
- a serious or repeated breach of these Terms;
- a security risk; or
- conduct that threatens our staff, customers, systems or business.
Termination does not affect rights or obligations that arose before termination.
26. Severability
If a provision of these Terms is unlawful or unenforceable, it will be read down to the extent necessary or severed where it cannot be read down.
The remaining provisions will continue to operate.
27. No Waiver
A failure or delay in exercising a right does not waive that right.
A waiver is effective only where it is given clearly and applies only to the particular circumstances for which it was given.
28. Entire Agreement
These Terms and the policies referred to in them form the agreement governing use of our website and online purchases.
They do not exclude representations or rights that cannot lawfully be excluded.
29. Changes to These Terms
We may update these Terms from time to time to reflect changes to our products, website, business practices, technology or legal obligations.
The updated Terms will be posted on this page with a revised date.
Changes will not retrospectively alter an order already accepted unless:
- the customer agrees;
- the change is required by law; or
- the change benefits the customer without imposing a disadvantage.
30. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
The parties submit to the courts and tribunals having jurisdiction in New South Wales and any courts entitled to hear appeals from them.
Nothing in this section prevents a consumer from exercising rights available under applicable consumer law.
